These Terms of Sale govern the purchase of a subscription to the EtcSec platform by a customer acting in a professional capacity. They supplement the Terms of Service, which remain applicable on matters not addressed here.
These Terms of Sale are originally drafted in English. In the event of any discrepancy or conflict between this translation and the English version, the English version shall prevail.
These Terms of Sale apply to any subscription to a paid EtcSec platform plan, published by ETCSEC, SASU, whose identification details appear in the Legal Notice.
They do not replace the Terms of Service, which govern use of the Service. Where these Terms of Sale are silent on a contractual matter, the Terms of Service apply.
Subscription prices and the terms for price changes are set out in the Terms of Service and on the pricing page.
Prices are shown ex-VAT. EU business customers with a valid VAT number are reverse-charged. French customers are billed 20% TVA. Invoices are issued by ETCSEC, SASU (RCS Evry 108 548 074).
The subscription is paid in advance: the price is due in full and charged by credit card at the time of subscription, and again at each renewal, before the Service is provided for the corresponding period. Unless otherwise agreed under a specific written contract (such as a Partner/MSSP arrangement), no payment term is granted within the meaning of Article L. 441-9 of the French Commercial Code.
Since the price is due at the time of subscription, no discount for early payment applies.
Any amount due and unpaid at its due date — including a failed card charge or an unpaid invoice issued under a specific agreement — automatically triggers, without prior notice, late payment penalties calculated in accordance with Article L. 441-10 of the French Commercial Code, at the higher of three times the French statutory interest rate and the European Central Bank's most recent refinancing rate plus 10 percentage points.
Any late payment also automatically triggers a fixed compensation for recovery costs of €40, as set by Article D. 441-5 of the French Commercial Code. Where actual recovery costs exceed this amount, additional compensation may be claimed upon presentation of supporting evidence.
During the term of the contract and until the post-termination retention period set out in the Terms of Service expires, the Customer can retrieve its Audit Data via the dashboard's export features.
After that period, Audit Data is permanently deleted in accordance with the Terms of Service. It is the Customer's responsibility to complete any necessary exports before that period expires.
These Terms of Sale are addressed exclusively to customers acting in a professional capacity for the purposes of their business. They do not apply to consumers within the meaning of French consumer law.
Accordingly, neither the right of withdrawal set out in Articles L. 221-18 et seq. of the French Consumer Code, nor recourse to a consumer mediator, applies to purchases made under these Terms of Sale.
Provisions regarding price changes, pro-rata refunds, termination, limitation of liability, service availability, and governing law are set out in the Terms of Service.
We may modify these Terms of Sale at any time. Material changes are subject to at least 30 days' notice, by email or through the Platform, and do not apply to subscriptions already purchased for the current period.
